Terms and Conditions for Areogun Resources Nig Ltd

By accessing or using our services, including participating in auctions, registering an account, or browsing our website (the “Site”), you agree to comply with and be bound by the following Terms and Conditions (“Terms”). 1. Definitions

Auction: A process by which items are sold to the highest bidder within a specific time frame.

• User/Buyer: Any individual or entity who registers on the Site and participates in the auctions.
• Seller: Any individual or entity who offers items for sale via our auction platform.
• Account: A user-specific profile on the Site that allows you to bid on auctions, track items, and make payments.
• Bid: An offer made by a User to purchase an item at a specified price during an auction.

2. User Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use our services. By registering and participating in auctions, you represent and warrant that you are of legal age to form a binding contract and have the legal capacity to enter into these Terms.

3. Registration and Account Creation

• To participate in our auctions, you must create an Account on the Site.
• When registering, you must provide accurate, current, and complete information and keep your Account details updated.
• You are responsible for maintaining the confidentiality of your Account credentials and are liable for all activities that occur under your Account.
• You must immediately notify us of any unauthorized use or security breach of your Account.

4. Auction Process

• Bidding: When you place a bid, it is a binding offer to purchase the item at the price you bid, subject to the auction’s terms.
• Reserve Price: Some auctions may have a reserve price (the minimum price for which the item will be sold). If the reserve price is not met, the item may not be sold.
• Winning Bid: The highest bid placed before the auction ends will win the item, subject to confirmation and approval by Areogun Resources Nig Ltd.
• Bid Increments: Bidding increments are determined by us and may vary based on the item and auction type.

5. Buyer’s Responsibilities

As a Buyer, you agree to:

• Pay for items won at auction in full and in a timely manner, including any applicable taxes, fees, and shipping costs.
• Inspect items upon receipt and notify us immediately if the item is defective or not as described.
• Comply with all laws, regulations, and restrictions that apply to your use of the Site and participation in auctions.

6. Seller’s Responsibilities

As a Seller, you agree to:

• Provide accurate and complete descriptions of the items being auctioned, including their condition, history, and any relevant information.
• Honor the sale of items to the highest bidder at the end of the auction, provided the reserve price (if applicable) is met.
• Ensure the delivery of items to the Buyer within the agreed-upon timeframe, and take responsibility for the safe and proper packaging of items.
• Comply with all applicable laws and regulations concerning the sale of goods.

7. Payment and Fees

• Payment Methods: We accept a variety of payment methods, including credit cards, bank transfers, and any other methods specified on the Site.
• Fees: Areogun Resources Nig Ltd may charge a buyer’s premium, listing fees, transaction fees, or any other applicable charges as outlined on the Site. Such fees will be clearly communicated before finalizing any transaction.
• Non-payment: If a Buyer fails to make payment within the specified timeframe, we reserve the right to cancel the transaction, charge a late fee, or take legal action if necessary.

8. Shipping and Delivery

• The Buyer is responsible for the cost of shipping unless otherwise specified.
• Sellers must ensure that items are shipped in accordance with the agreed terms and provide tracking information to Buyers.
• Areogun Resources Nig Ltd is not responsible for any delays or damages that occur during shipping or delivery.

9. Refunds and Returns

• Refunds: Refunds will only be processed in cases where items are not as described, are defective, or do not match the description provided by the Seller.
• Returns: Returns are subject to the Seller’s return policy, which should be clearly outlined in the auction description.
• Dispute Resolution: If there is a dispute between a Buyer and Seller regarding the transaction, we may assist in resolving the issue through our dispute resolution process.

10. Prohibited Activities

You agree not to:

• Engage in any fraudulent, misleading, or deceptive activities on our platform.
• Bid with no intention to purchase the item.
• Use our platform for any illegal activities, including but not limited to the sale of counterfeit or prohibited items.
• Manipulate or attempt to manipulate bids or auction results.
• Interfere with the operations of the Site, including hacking or distributing malicious software.

11. Intellectual Property

• All content on our Site, including text, graphics, logos, images, and software, is the property of Areogun Resources Nig Ltd and is protected by copyright and intellectual property laws.
• You may not use, reproduce, or distribute any of our intellectual property without express permission.

12. Limitation of Liability

13. Indemnification

You agree to indemnify, defend, and hold harmless Areogun Resources Nig Ltd, its officers, employees, agents, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Site, participation in auctions, or violation of these Terms.

14. Termination of Account

We reserve the right to suspend or terminate your Account if you breach any of these Terms or if we believe your actions may harm the reputation or operation of Areogun Resources Nig Ltd. You may also close your Account at any time by contacting us.

15. Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of Nigeria.
• Arbitration: Any dispute arising from or in connection with these Terms shall be resolved through arbitration, in accordance with the applicable arbitration rules in Nigeria.
• Jurisdiction: Any legal actions that cannot be resolved through arbitration shall be subject to the exclusive jurisdiction of the courts in Nigeria.
